General Terms and Conditions

1. Introductory Provisions

1. These General Terms and Conditions (hereinafter “GTC”) govern the mutual rights and obligations between the operator of the ZAspot platform, Sdil Building Automotive s.r.o., Company ID: 09873236, registered office at Štefánikova 605/46b, 612 00 Brno (hereinafter “Operator”), and the user of services (hereinafter “User”) when using the ZAspot platform available at zaspot.cz and in the ZAspot mobile application.
2. These GTC are governed by the legal framework of the Czech Republic, in particular:
   • Act No. 89/2012 Coll., the Civil Code,
   • Act No. 634/1992 Coll., on Consumer Protection,
   • Act No. 311/2006 Coll., on Fuels (to the relevant extent),
   • Regulation (EU) 2016/679 (GDPR) and related legislation.
3. These GTC form an integral part of the contract concluded between the Operator and the User. Provisions deviating from these GTC may be agreed individually; such deviating agreements shall take precedence.

2. Definitions

• ZAspot Platform – the web application at zaspot.cz and the ZAspot mobile application, through which the Operator provides electric vehicle charging services, product sales and user account management.
• User – a natural or legal person who registers on the ZAspot platform and uses its services.
• Consumer – a natural person who acts outside the scope of their business activity.
• Charging Station – equipment for charging electric vehicles operated within the ZAspot network or accessible via eRoaming.
• Wallet – user credit maintained in the User's account, which can be used to pay for charging and purchase products on the platform.
• AutoCharge – the automatic charging initiation feature upon connecting a registered vehicle to a charging station.
• Goods – products offered for sale in the online shop on the ZAspot platform (charging stations, accessories, etc.).

3. Services and Pricing

1. The Operator provides the following services through the ZAspot platform:
   • charging electric vehicles at charging stations within the ZAspot network,
   • charging via eRoaming (Hubject) at partner stations,
   • sale of goods (charging stations, accessories) in the online shop,
   • wallet management (credit top-up, transaction history).
2. Charging price consists of:
   • the current electricity spot price (OTE),
   • distribution fee AC (D25d): 2.24 CZK/kWh or DC (C45d): 0.92 CZK/kWh,
   • operator margin: 1.50 CZK/kWh (AC) or 3.00 CZK/kWh (DC),
   • ZAspot platform fee: 0.50 CZK/kWh.
   All prices are shown excluding VAT (21% DPH added separately).
3. Product prices in the online shop are displayed for each product including VAT and do not include shipping and payment costs.
4. In the event of an obvious pricing error, the Operator reserves the right not to confirm the order and to contact the User.

4. Registration and User Account

1. To use the services of the ZAspot platform, registration of a user account via the website or mobile application is required.
2. Registration is possible via a Google account, email with password, or a login link (magic link).
3. The User is obliged to provide truthful and up-to-date information and to protect their account credentials from misuse.
4. The Operator reserves the right to terminate the account of a User who violates these GTC or misuses the platform services.

5. Orders and Contract Formation

1. Charging services: The contract for the provision of charging services is concluded upon the initiation of charging (by connecting the vehicle and authorization, or by remote start via the application or terminal).
2. Goods: The buyer orders goods through the online shop by completing the order form. Before submission, the buyer may review and modify the information. By submitting the order, the buyer confirms awareness of these GTC. The contract is concluded upon confirmation of the order by the Operator (typically by email).
3. The Operator reserves the right to request additional confirmation of an order (e.g. for non-standard orders).

6. Payment Terms

1. The User may pay for services and goods in the following ways:
   • by payment card online (via the Global Payments payment gateway),
   • from the ZAspot Wallet (pre-loaded credit balance),
   • by bank transfer (for wallet top-up).
2. Card payments are processed securely through the certified payment gateway Global Payments s.r.o. The Operator does not obtain or store payment card data.
3. In the case of bank transfer payment, the credit is applied after receipt of payment to the Operator's account.
4. The tax document is made available to the User electronically in their user account.

7. ZAspot Wallet

1. The ZAspot Wallet is a credit system that allows the User to pre-load funds and subsequently use them to pay for charging and purchase goods on the platform.
2. The Wallet can be topped up by payment card or bank transfer.
3. Funds in the Wallet are non-refundable, except in cases stipulated by law (e.g. consumer withdrawal from contract).
4. When paying from the Wallet, the User is charged the current price of the service or goods. Purchases of goods from the Wallet may be eligible for a discount (currently 5 %).
5. The Operator reserves the right to limit the maximum wallet balance or the minimum/maximum top-up amount.
6. The history of all Wallet transactions is available in the user account.

8. Delivery Terms (Products)

1. Shipping methods, prices and delivery conditions are listed in the online shop.
2. The delivery period begins from the confirmation of the order; in the case of bank transfer, from the receipt of payment to the Operator's account.
3. The buyer is obliged to check the integrity of the packaging upon receipt and, in the event of damage, to proceed with the carrier according to its terms.
4. Personal pickup: Štefánikova 605/46b, 612 00 Brno. Goods are ready for pickup upon email confirmation.

9. Charging Services

1. Charging of an electric vehicle is possible at charging stations within the ZAspot network. The User may initiate charging via the mobile application, web interface, payment terminal, or the AutoCharge function.
2. AutoCharge: The User may register their vehicle for automatic charging. Upon connecting a registered vehicle to a charging station, charging is initiated automatically and costs are deducted from the User's Wallet.
3. Terminal payment: When paying by card at the payment terminal, charging is automatically stopped once the paid energy amount has been consumed.
4. Blocking fee: After charging is completed, a fee for blocking the charging point is charged:
   • AC: CZK 1.70/min after 3.5 hours from the end of charging,
   • DC: CZK 3.50/min after 1.5 hours from the end of charging.
   AC charging at night (23:00–08:00) is exempt from the blocking fee.
5. The User is obliged to use charging stations in accordance with the instructions and safety guidelines. The User is liable for damage caused by improper use.
6. The Operator does not guarantee uninterrupted availability of charging stations. Outages may occur due to technical reasons, maintenance, or force majeure.

10. Right of Withdrawal

1. Goods: The consumer has the right to withdraw from the purchase contract within 14 days of receiving the goods, unless otherwise stipulated.
2. Withdrawal may be exercised by email to info@zaspot.cz or in writing; recommended details: name, order number, date of receipt, bank account number.
3. The consumer is obliged to return the goods within 14 days of withdrawal at the latest. The costs of returning the goods are borne by the consumer, unless agreed otherwise.
4. The Operator shall refund the received payments within 14 days of withdrawal, but no earlier than after receiving the returned goods or proof of dispatch.
5. The consumer is liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature and characteristics of the goods.
6. Charging services: Withdrawal from the charging service contract is not possible after charging has commenced, as it constitutes a service that was provided with the express consent of the consumer before the expiry of the withdrawal period.
7. Exceptions from withdrawal: The right of withdrawal cannot be exercised in particular for:
   • goods customised according to the buyer's wishes,
   • goods in sealed packaging that have been removed from the packaging and cannot be returned for hygienic reasons.

11. Claims and Warranty

1. Rights arising from defective performance are governed by the relevant provisions of the Civil Code (§ 2099 et seq.).
2. Goods: The buyer is entitled to claim a defect in the goods that appears within the warranty period. The warranty period is 24 months from receipt of the goods (for consumers).
3. Charging services: In the event of billing discrepancies (incorrect amount, unauthorized deduction), the User is entitled to file a claim electronically via email or through their user account.
4. Claims for both goods and services may be submitted to info@zaspot.cz or in writing to the Operator's registered office.
5. The Operator is obliged to decide on the claim within 30 days of its submission, unless a longer period is agreed with the User.

12. Liability

1. The Operator is liable for the proper provision of services to the extent defined by these GTC.
2. The Operator is not liable for damages caused by force majeure, technical malfunctions of charging stations, power outages, or internet connection interruptions.
3. The Operator is not liable for vehicle damage resulting from a technical defect in the vehicle or incorrect connection to the charging station.
4. The User is liable for all activities performed through their user account.

13. Alternative Dispute Resolution

1. The competent authority for out-of-court resolution of consumer disputes is the Czech Trade Inspection Authority, with its registered office at Štěpánská 567/15, 120 00 Prague 2, Company ID: 000 20 869, website: https://adr.coi.cz/cs.
2. The online dispute resolution platform at http://ec.europa.eu/consumers/odr may be used to resolve disputes between the Operator and the User.
3. The European Consumer Centre Czech Republic, with its registered office at Štěpánská 567/15, 120 00 Prague 2, website: http://www.evropskyspotrebitel.cz is the contact point pursuant to Regulation (EU) No. 524/2013 of the European Parliament and of the Council.
4. The Operator is authorised to provide services on the basis of a trade licence. Trade inspections are carried out by the competent trade licensing office within its jurisdiction.

14. Personal Data Protection

1. The Operator processes Users' personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 110/2019 Coll., on the Processing of Personal Data.
2. Detailed information on the processing of personal data is provided in the Privacy Policy, which is available on the ZAspot platform.
3. The User grants consent to the processing of personal data by registering on the platform. Personal data is processed for the purpose of contract fulfilment, user account management, and communication with the User.

15. Final Provisions

1. The Operator reserves the right to unilaterally amend these GTC. The User will be informed of changes through the platform. By continuing to use the services after the changes take effect, the User expresses consent to the new version of the GTC.
2. If any provision of these GTC is invalid, ineffective or inapplicable, this shall not affect the validity of the remaining provisions.
3. Legal relationships not governed by these GTC are subject to the relevant provisions of the Civil Code and other legal regulations of the Czech Republic.
4. These GTC become valid and effective on 16.03.2026.
